shall have previously consented thereto and so far as required

by the Loan Agreement the written consent of the Corporation also

obtained and neither Government shall grant any rights of mining or

quarrying under or near the Railway which would in any manner

interfere with or prejudicially affect the Railway or its working nor

shall either Governinent itself exercise any such rights to the prejudice

of the Railway.

21.-ANY matter arising under this Agreement and not provided

herein as being within the competence of the Board to settle shall be

referred to arbitration each Government to appoint one Arbitrator

and the Arbitrators to have power to appoint an Umpire.

22.-TH Agreement shall be executed in duplicate and one part.

retained by each Government Provided that this Agreement is not to

be binding on the Hongkong Government until accepted by the

Hongkong Legislative Council to which the Hongkong Government

shall submit it in due course. Any doubt arising as to the interpre-

tation of this Agreement shall be settled by reference to the English

text which is to be the standard and this Agreement shall be construed

according to English Law.

23.---THIS Agreement is not to prejudice the rights of the

Corporation under the loan Agreement and such Agreement shall

apply to the Chinese section of the Railway hereunder and shall be

carried into effect in such manner as to comply with the provisions of

this Agreement.
